Executives and boards of smaller financial institutions face a market with several hundred fewer banks and credit unions every year. The FDIC counted about 4,600 commercial banks and savings institutions at year-end 2024, down from more than 14,000 in 1984. Almost all of the annual decline is voluntary consolidation, driven by scale economics, and the pressures behind it are not easing.
Datos Insights finds that preparation is the strategy. The attributes that command a premium in a sale are the same ones that sustain independence, so every smaller FI benefits from knowing its value drivers. Technology integration is the most underestimated source of merger cost and risk, and boards that underinvest in technology diligence before signing routinely pay for it after closing.
